These Terms of Service (“Terms”) govern your access to and use of the SEARCHES website, business profiles, product and service listings, search facilities, business networking features, inquiry tools, Request for Quotation (“RFQ”) facilities, and any other services made available by SEARCHES (collectively, the “Platform”).

In these Terms, “SEARCHES,” “we,” “us,” and “our” refer to Searches Limited, the legal entity that operates the Platform. “You” and “your” refer to any visitor, registered user, business, company representative, buyer, supplier, manufacturer, exporter, importer, corporate client, or other person accessing or using the Platform.

By accessing the Platform, creating an account, submitting business information, publishing a listing, sending an inquiry, or otherwise using a feature governed by these Terms, you agree to the applicable provisions of these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Platform.

Important: These Terms govern your relationship with SEARCHES. They do not automatically constitute a sales, purchase, supply, manufacturing, distribution, agency, or other commercial contract between you and another business using the Platform.

SEARCHES provides digital facilities that may allow users to:

• Discover businesses, suppliers, manufacturers, buyers, exporters, importers, and service providers.
• Create and manage business profiles.
• Publish business information, product listings, service descriptions, and business updates.
• Search for products, services, and potential commercial partners.
• Submit and respond to business inquiries and RFQs.
• Communicate or establish contact with other businesses.
• Participate in business networking and related activities.
• Access verification indicators, business information, and other features made available by SEARCHES.

The availability of any particular feature depends on the Platform's actual functionality, the applicable service plan, and any additional terms presented to you.

Unless expressly stated in a separate written agreement, SEARCHES acts as a business discovery and communication platform. SEARCHES is not automatically the buyer, seller, manufacturer, supplier, importer, exporter, broker, agent, distributor, guarantor, or contracting party in transactions between users.

SEARCHES does not automatically take possession of goods, transfer ownership of goods, receive purchase prices, arrange delivery, or provide escrow services merely because users discover or contact one another through the Platform.

Any future service involving order management, payment processing, escrow, delivery coordination, transaction commissions, or other transaction-related activities may be subject to additional terms and legal requirements.

You may use the Platform only if you are legally capable of entering into the applicable agreement under the laws governing you and your use of the Platform.

If you register or act on behalf of a company, partnership, sole proprietorship, or other organization, you represent that:

• You are authorized to represent that organization.
• You have authority to accept these Terms on its behalf.
• The information you provide about the organization is accurate to the best of your knowledge.
• Your use of the Platform does not violate any applicable law, binding agreement, or restriction.

You must not register using another person's identity, impersonate a company, or falsely claim to be an authorized representative.

The Platform is intended primarily for business use. Individuals may access public information or use features where permitted by applicable law and the relevant service terms.

Certain Platform features may require registration.

When creating or maintaining an account, you agree to:

• Provide accurate, complete, and current information.
• Maintain the confidentiality of your login credentials.
• Use appropriate security measures to protect your account.
• Notify SEARCHES promptly if you suspect unauthorized access or account misuse.
• Keep your contact and business information up to date.
• Cooperate reasonably with legitimate account-security and verification procedures.

You must not share account credentials in a manner that compromises account security or permits unauthorized access.

You are responsible for activities conducted through your account to the extent permitted by applicable law. This provision does not make you responsible for activity caused by SEARCHES' own wrongdoing or by unauthorized access for which you are not legally responsible.

SEARCHES may implement identity checks, email verification, phone verification, access restrictions, multi-factor authentication, or other reasonable security measures.

Users may create business profiles containing information such as:

• Business or legal entity name.
• Trading name, where applicable.
• Business registration or licence information.
• Country, business address, and operating locations.
• Authorized business contact information.
• Business category and industry.
• Products, services, and business capabilities.
• Manufacturing, sourcing, distribution, or export information.
• Website and other authorized business links.
• Relevant certifications and supporting documents.
• Other information requested by SEARCHES for legitimate Platform purposes.

You are responsible for ensuring that information you submit is accurate, lawful, appropriately authorized, and not misleading.

You must not:

• Create fake, duplicate, or deceptive business profiles.
• Claim registration, certification, authorization, or accreditation that you do not possess.
• Misrepresent your business location, ownership, manufacturing capacity, export capabilities, or commercial status.
• Publish another person's personal information without an appropriate lawful basis or authorization.
• Upload forged, altered, expired, or misleading documents as if they were valid.
• Use another business's identity, name, logo, or intellectual property without authorization.

SEARCHES may request additional information, restrict publication, correct clearly misleading content, or suspend a listing where reasonably necessary to protect users, comply with law, or enforce these Terms.

SEARCHES may offer different forms of business verification, document review, contact verification, or other trust indicators.

The scope of verification depends on the specific checks actually performed and the evidence available.

A verification indicator may refer to a particular item, such as:

• Email or telephone contact verification.
• Review of specified business registration documents.
• Review of a stated business address.
• Review of particular certificates or business credentials.

Unless expressly stated otherwise, verification does not mean that SEARCHES has independently audited every aspect of a business, inspected every product, confirmed financial solvency, guaranteed manufacturing capacity, verified all commercial claims, or predicted future performance.

A verification indicator is not a guarantee against fraud, non-performance, insolvency, defective goods, delivery delays, or commercial disputes.

Users must assess potential business partners independently and undertake appropriate due diligence before entering into contracts or making payments.

SEARCHES may request updated documents, change a verification status, suspend a badge, or withdraw verification when information becomes outdated, materially inaccurate, or reasonably questionable.

Verification decisions will be handled in accordance with the applicable verification procedures and any legal requirements governing the Platform.

Buyers using the Platform agree to:

• Provide genuine and sufficiently accurate business inquiries and purchasing requirements.
• Avoid fraudulent, deceptive, or unauthorized RFQs.
• Provide relevant product specifications, quantities, delivery requirements, and other material information where appropriate.
• Evaluate supplier credentials, product quality, certifications, and commercial terms before making purchasing decisions.
• Obtain appropriate internal authorization before committing to a purchase.
• Comply with applicable import, customs, sanctions, product-safety, and other relevant legal requirements.
• Respect the confidentiality and permitted use of information received from suppliers.

A buyer's inquiry or RFQ does not automatically constitute a binding purchase order or contract. Whether a binding contract exists depends on the communications, agreements, and applicable law governing the parties.

Buyers must not use the Platform to collect confidential commercial information through sham inquiries, harass suppliers, circulate misleading requirements, or engage in unlawful competitive practices.

Businesses publishing products, services, manufacturing capabilities, or supply offers agree to:

• Provide accurate descriptions of their products, services, and capabilities.
• Maintain appropriate licences, permits, and certifications required for their activities.
• Make only those product-safety, quality, origin, capacity, and compliance claims that they can reasonably substantiate.
• Clearly disclose material limitations, specifications, conditions, and restrictions where applicable.
• Respect intellectual property and third-party rights.
• Respond honestly to inquiries and quotations.
• Notify SEARCHES of material changes affecting the accuracy of their published business information.
• Comply with applicable laws governing the products and services they offer.

Where relevant to the proposed transaction, suppliers and manufacturers are responsible for establishing the agreed specifications, pricing, quantity, payment terms, delivery terms, warranties, inspection arrangements, and other commercial conditions directly with their customers.

Businesses engaged in international trade must comply with applicable export and import controls, customs requirements, product regulations, sanctions, and other legal restrictions relevant to their activities.

SEARCHES does not certify a product as legally exportable, safe, compliant, or suitable merely because it appears on the Platform.

SEARCHES may provide tools that allow users to submit inquiries, request quotations, or communicate commercial requirements.

Users are responsible for reviewing the accuracy and appropriateness of the information they submit.

Unless a separate written agreement expressly provides otherwise:

• SEARCHES does not guarantee that an inquiry will receive a response.
• SEARCHES does not guarantee that an RFQ will generate a quotation or commercial opportunity.
• SEARCHES does not guarantee that a quotation is accurate, complete, current, or available for acceptance.
• SEARCHES does not automatically accept quotations, issue purchase orders, or enter into commercial contracts on behalf of users.
• Users are responsible for confirming the final terms of their commercial arrangements directly with the relevant parties.

Users must not submit fraudulent, unlawful, deceptive, or abusive inquiries.

SEARCHES may restrict, remove, or investigate RFQs or quotations that reasonably appear to violate these Terms, applicable law, or the legitimate interests of Platform users.

Users may independently negotiate and enter into commercial agreements with other users.

Unless expressly agreed otherwise in a separate written contract, SEARCHES is not a party to transactions between users and does not guarantee:

• The identity, honesty, financial standing, or reliability of another user.
• The accuracy of all business information or product claims.
• Product quality, authenticity, safety, or fitness for a particular purpose.
• Delivery, payment, performance, or fulfilment of commercial obligations.
• Customs clearance, export authorization, import authorization, or regulatory approval.
• The enforceability or legal validity of a transaction between users.

Users should independently verify the identity and authority of their proposed counterparties, examine relevant documents, agree on written commercial terms, and use appropriate payment and risk-management arrangements.

A user must not assume that SEARCHES has endorsed a business, product, quotation, or transaction merely because it appears on the Platform.

Nothing in this section excludes a duty or liability that cannot lawfully be excluded.

Some Platform features may be free, while others may be offered through paid subscriptions, premium services, featured listings, advertising, or other commercial arrangements.

Where a paid service is offered, SEARCHES will provide the applicable pricing and material service terms before the relevant purchase or subscription is completed.

Those terms may specify:

• Service scope and duration.
• Price, currency, and applicable taxes.
• Billing frequency and renewal arrangements.
• Payment methods and payment-processing arrangements.
• Cancellation procedures and applicable refund rules.
• Feature limits and eligibility requirements.

Users must pay applicable fees in accordance with the relevant agreement.

A paid listing, premium subscription, or sponsored placement does not automatically confer verified status or guarantee inquiries, sales, rankings, business success, or customer acquisition.

Any applicable refund, cancellation, consumer protection, or mandatory statutory right remains subject to the relevant law and the specific service terms.

SEARCHES will not treat a fee as authorization to misrepresent a business's verification status or commercial standing.

You must use the Platform lawfully and responsibly.

The following activities are prohibited:

• Fraud, scams, impersonation, or deceptive business practices.
• Fake business profiles, fabricated documents, or materially misleading listings.
• Counterfeit goods, unauthorized sales, or unlawful product promotion.
• Bribery, money laundering, sanctions evasion, or other unlawful activity.
• Unauthorized access to accounts, systems, or data.
• Malware distribution, phishing, credential theft, or security attacks.
• Spam, harassment, threats, or abusive communications.
• Unauthorized scraping, harvesting, resale, or misuse of Platform data.
• Infringement of intellectual property, confidentiality, or privacy rights.
• Manipulation of reviews, ratings, verification indicators, or search visibility.
• Use of the Platform to facilitate illegal trade or evade regulatory controls.
• Interference with the availability, security, or proper operation of the Platform.
• Any other activity prohibited by applicable law or these Terms.

SEARCHES may investigate reasonably suspected violations and take proportionate measures, including removing content, restricting functionality, suspending accounts, terminating access, preserving relevant records, or reporting matters to competent authorities where legally appropriate.

Where required by applicable law, SEARCHES will provide relevant notices, explanations, or available review procedures.

Users retain ownership of intellectual property in content they lawfully own or are authorized to submit, subject to any separate agreement and applicable law.

By submitting content to SEARCHES, you grant SEARCHES a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, distribute, and otherwise process that content to the extent reasonably necessary to operate, maintain, secure, promote, and improve the Platform and provide the features you request.

This licence continues only for as long as reasonably necessary for those purposes, subject to applicable law, legitimate retention requirements, and any separate agreement. Public display may be discontinued when content is removed, although backup copies or legally required records may remain for a limited period.

You represent that:

• You own the content or have the necessary rights and permissions to submit it.
• Your submission does not unlawfully infringe third-party rights.
• You have authority to submit any company logo, product image, certificate, or business document provided.
• Your content does not contain unlawful, fraudulent, or materially misleading information.

You must not copy, reproduce, distribute, or commercially exploit SEARCHES' branding, software, database, website design, or other protected materials without authorization, except as permitted by law.

SEARCHES may remove or restrict content where reasonably necessary to address infringement allegations, legal obligations, security risks, or violations of these Terms.

Nothing in these Terms transfers ownership of a user's intellectual property to SEARCHES.

If you believe that content on the Platform infringes your copyright, trademark, or other protected rights, you may submit a complaint to:

Your complaint should include:

• Your name and contact information.
• Identification of the protected work or right.
• The specific content or listing in question.
• The URL or other information necessary to locate the material.
• An explanation of the alleged infringement.
• Evidence of ownership or authorization, where reasonably required.
• A statement that the information provided is accurate to the best of your knowledge.

SEARCHES may request additional information, notify the relevant user, restrict the disputed material, or take other proportionate steps consistent with applicable law.

Submitting a complaint does not automatically establish infringement. SEARCHES may reject incomplete, abusive, or unsupported complaints and may provide a review or response process where appropriate.

Knowingly submitting materially false infringement claims may result in legal consequences.

SEARCHES processes personal data in accordance with its Privacy Policy and applicable data-protection laws.

Personal data may be processed for purposes such as account administration, business verification, search and discovery, responding to inquiries, platform security, customer support, fraud prevention, billing, and compliance with legal obligations.

Users must not submit personal data about another person unless they have an appropriate lawful basis or authorization to do so.

Users must not use information obtained through the Platform for harassment, unlawful marketing, unauthorized profiling, identity theft, or other prohibited purposes.

SEARCHES will implement appropriate technical and organizational measures for personal data under its control, consistent with applicable legal requirements and the nature of the processing.

The Privacy Policy explains relevant data practices, including collection, use, disclosure, retention, security, user rights, and contact procedures.

These Terms do not replace the Privacy Policy or any separate data-processing agreement required for a particular service.

The Platform may contain links to third-party websites, payment providers, communication services, verification services, or other external resources.

Third-party services may be subject to their own terms and privacy policies.

Unless expressly agreed otherwise, SEARCHES does not control and is not responsible for the content, availability, security, or independent business practices of third-party services.

The inclusion of an external link does not constitute an endorsement or guarantee by SEARCHES.

Users should review relevant third-party terms and independently assess the reliability and suitability of external services before using them.

SEARCHES aims to provide a useful and secure Platform but does not guarantee uninterrupted, error-free, or continuous availability.

The Platform may occasionally be unavailable because of maintenance, technical issues, security incidents, infrastructure failures, third-party service disruptions, or circumstances beyond reasonable control.

SEARCHES may add, modify, suspend, or discontinue features where reasonably necessary for operational, commercial, security, or legal reasons.

Where appropriate and reasonably practicable, SEARCHES will provide advance notice of material changes affecting paid services or users' existing contractual rights.

Nothing in these Terms authorizes SEARCHES to disregard mandatory contractual or statutory obligations.

SEARCHES may restrict, suspend, or terminate access to an account or particular features where reasonably necessary because of:

• A material breach of these Terms.
• Fraudulent, deceptive, or unlawful conduct.
• Materially false business information or misuse of verification.
• A credible security threat or unauthorized account access.
• Repeated intellectual property or privacy violations.
• A legal requirement or a competent authority's lawful direction.
• Other circumstances presenting a substantial risk to users, the Platform, or compliance obligations.

Where appropriate and legally permissible, SEARCHES will explain the relevant reasons and provide a reasonable opportunity to respond or appeal.

Users may stop using the Platform and may request account closure through the applicable account settings or by contacting [email protected].

Account closure does not automatically eliminate outstanding payment obligations, unresolved disputes, or records that SEARCHES is lawfully required or permitted to retain.

Personal data associated with closed accounts will be handled in accordance with the Privacy Policy and applicable law.

To the extent permitted by applicable law, the Platform is provided on an “as available” basis.

SEARCHES does not make a blanket guarantee that all user-submitted information, business listings, product descriptions, verification indicators, quotations, or communications are accurate, complete, current, or suitable for a particular commercial purpose.

SEARCHES does not guarantee that users will find a business partner, receive an inquiry, complete a transaction, make a profit, or avoid commercial loss.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, or any other liability that cannot lawfully be excluded or limited.

To the extent permitted by applicable law, SEARCHES will not be liable for indirect, incidental, special, exemplary, or consequential loss arising from use of the Platform, including loss of anticipated profit, business opportunity, or goodwill, where such loss is legally excludable.

To the extent permitted by applicable law, SEARCHES' aggregate liability arising from the Platform or these Terms will be limited to the amount, if any, paid by the relevant user to SEARCHES for the affected service during the twelve months preceding the event giving rise to the claim.

If no amount was paid, any applicable liability limitation must be interpreted subject to mandatory law and the circumstances of the claim.

The exclusions and limitations in this section do not apply where prohibited by law and do not eliminate any non-excludable statutory rights or obligations.

To the extent permitted by applicable law, you agree to indemnify SEARCHES against third-party claims, losses, damages, and reasonable legal costs arising directly from your unlawful conduct, material breach of these Terms, infringement of third-party rights, or materially false information you knowingly submit.

This provision does not apply to the extent a claim or loss results from SEARCHES' own unlawful conduct, negligence, breach of contract, or other responsibility that cannot lawfully be transferred to you.

SEARCHES will provide reasonable notice of an indemnifiable claim where legally permissible and allow appropriate cooperation in its defence.

No settlement imposing an admission of liability or a non-monetary obligation on an indemnifying party may be agreed on that party's behalf without appropriate consent, except as otherwise permitted by law.

SEARCHES may facilitate business discovery involving companies in Bangladesh and other countries.

Each user is responsible for complying with laws applicable to its own business activities, including relevant requirements concerning:

• Business registration and licensing.
• Import and export authorization.
• Customs and trade documentation.
• Product safety, quality, labelling, and certification.
• Sanctions and export controls.
• Anti-bribery, anti-corruption, and anti-money-laundering obligations.
• Taxation, invoicing, and applicable reporting obligations.
• Personal data protection and confidentiality.
• Competition and consumer protection, where applicable.

Users must not use SEARCHES to facilitate prohibited transactions, evade sanctions, conceal unlawful activity, or misrepresent the legal status of goods or services.

SEARCHES may restrict access to particular features, users, listings, or transactions where reasonably necessary to comply with applicable law or manage material legal or security risks.

Nothing in these Terms represents that SEARCHES is authorized to operate every service in every jurisdiction or that a user is automatically permitted to trade with every country or counterparty.

These Terms shall be governed by the laws of Bangladesh, subject to mandatory legal provisions that apply to a particular user, service, or dispute.

If a dispute arises between you and SEARCHES, the parties should first attempt to resolve it through good-faith written communication.

The parties may agree to mediation or another appropriate dispute-resolution process where suitable.

Subject to applicable law and any valid separate agreement, disputes arising directly between you and SEARCHES shall be submitted to the competent courts of Bangladesh.

Nothing in this section removes a mandatory right to bring proceedings before another competent court, authority, or tribunal where applicable law requires or permits it.

Disputes between a buyer and supplier concerning their independent commercial contract are primarily matters between those contracting parties. SEARCHES is not automatically a party to those disputes merely because the parties met through the Platform.

Any separate arbitration agreement must be expressly agreed in an appropriate written contract and should specify the applicable arbitration arrangements.

SEARCHES may update these Terms to reflect changes in the Platform, business model, security practices, legal requirements, or operational procedures.

The current version will be published on the Platform with its effective date or last-updated date.

Where a material change affects existing users' contractual rights or obligations, SEARCHES will provide notice or obtain renewed acceptance where required by applicable law.

Continued use of the Platform after an update will constitute acceptance only to the extent that such acceptance is legally effective under the applicable law.

If you do not agree to a material change, you may stop using the affected services and may request account closure, subject to applicable contractual obligations and legal requirements.

You agree that SEARCHES may communicate with you electronically concerning account administration, security, verification, inquiries, legal notices, and service updates, subject to applicable law.

Electronic communications may be sent through the email address associated with your account, in-platform notifications, or another agreed channel.

You are responsible for maintaining accurate contact details and monitoring important communications.

Electronic acceptance, notices, and records will be handled in accordance with applicable law and any relevant evidentiary requirements.

To the extent permitted by applicable law, SEARCHES will not be responsible for a delay or failure caused by circumstances beyond its reasonable control, including natural disasters, widespread network failures, war, civil unrest, government restrictions, major infrastructure outages, or comparable events.

This section does not excuse obligations that applicable law does not permit to be excused, nor does it eliminate obligations that can reasonably continue despite the relevant event.

If a provision of these Terms is held invalid, unlawful, or unenforceable by a competent authority, the remaining provisions will continue in effect to the extent permitted by law.

The invalid provision will be interpreted or replaced only to the extent legally permissible and necessary to give effect to the parties' lawful intentions.

A failure or delay by SEARCHES in exercising a right under these Terms does not automatically constitute a waiver of that right.

Any waiver must be assessed in accordance with applicable law and the circumstances in which it is given.

You may not transfer your rights or obligations under these Terms without any consent required by applicable law or these Terms.

SEARCHES may transfer its rights or obligations in connection with a lawful restructuring, merger, acquisition, or transfer of the relevant business, subject to applicable law and any necessary notices or consents.

No assignment may be used to avoid mandatory legal obligations or improperly prejudice users' rights.

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular service, constitute the agreement governing your use of the Platform.

A separate written agreement may govern a specific paid service, enterprise arrangement, data-processing activity, or commercial relationship. In the event of a conflict, the order of precedence will be determined by the relevant agreement and applicable law.

These Terms do not automatically govern or replace an independent contract between buyers and suppliers.
